Cyril McGuire Chairman and Chief Executive Officer

Cyril P. McGuire, a Trintech co-founder, has served as a director since 1987, chairman since August 1999, and chief executive officer since February 2002. From 1991 to late 1999, he served as president, and from 1987 to 1991, he served as managing director. Prior to co-founding Trintech, from 1982 to 1987, Mr. McGuire worked with the Industrial Credit Corporation plc, a leading Irish commercial bank. There his responsibilities included the appraisal of electronic industry investment projects. Mr. McGuire received a Bachelor of Commerce and Master of Business from University College Dublin. He is a member of the Board of Directors of The Michael Smurfit Graduate School of Business, and a member of the Marketing Institute of Ireland. He currently resides in Dublin, Ireland.

Paul Byrne, President

Paul Byrne has served as President of Trintech since February 2005. Mr. Byrne served as Chief Financial Officer from 1996 to January 2005. Mr. Byrne has also served as a director since 1997. Before joining Trintech, from 1989 to 1995, Mr. Byrne was group financial controller and publisher at Lafferty Publications Limited, an international subscription based publishing company. From 1985 to 1989, Mr. Byrne was an accountant with Price Waterhouse, a global accounting firm. Mr. Byrne received a Bachelor of Commerce and a diploma in professional accounting from University College Dublin, and is a fellow of the Institute of Chartered Accountants in Ireland. He currently resides in Dublin, Ireland.

Dr Jim Mountjoy, Director (Non-Executive)

Dr. Mountjoy brings 30 years of business and commercial experience in the IT industry to the Trintech Board. In 1990, he co-founded Euristix Limited, a software development company that specialized in the development of telecommunications signaling systems. In February 1999, Euristix was acquired by Fore Systems Inc. Later that year, Fore Systems was acquired by GEC, a UK based telecommunications equipment vendor, now known as Marconi. Dr. Mountjoy acts as Non-Executive Director in a number of companies in the technology sector. He is a Director of the Science Foundation of Ireland, Chairman of ICT Ireland R and D Advisory Committee, and an Advisory Board member of a number of Irish-based Venture Capital companies.

Kevin Shea, Director (Non-Executive)

Kevin C. Shea has served as a director since 2000. Since 2002, Mr. Shea has served as a consultant to the Board. From October 2001 to December 2001 Mr. Shea served as chief strategy officer. From January 2000 to October 2001 Mr. Shea served as chief operating officer. Prior to joining Trintech, May 1998 to January 2000, Mr. Shea was chief financial officer of National Data Corporation. Before that Mr. Shea was executive vice president of corporate strategy and business development, June 1996 until May 1998, and general manager of the Integrated Payment Systems division, 1992 to 1996. Prior to joining National Data Corporation, he held senior executive positions at Citicorp and First Interstate Bank Corporation. Mr. Shea received a Bachelor of Social Science from the State University of New York. He currently resides in the United States.

Robert Wadsworth, Director (Non Executive)

Robert M. Wadsworth has served as a Trintech director since September 1998. Since 1986, Mr. Wadsworth has been a general partner of HarbourVest Partners LLC, a private investment company. In 1997 he began service as the Managing Director of HarbourVest Partners LLC. Before 1986, Mr. Wadsworth worked for Booz, Allen and Hamilton, an international consulting company, specializing in the areas of operations strategy and manufacturing productivity. Mr. Wadsworth currently serves on the advisory boards of several US venture firms, and on the board of directors of ePresense, Inc., a web design and development company; Switchboard, Inc., an Internet-based local merchant networking company; Concord Communications, Inc., an Internet infrastructure company; and Network Engines, Inc., a network infrastructure company. Mr. Wadsworth received a Bachelor of Science, magna cum laude, in systems engineering and computer science from the University of Virginia, and a Master of Business Administration, with distinction, from Harvard Business School.

Trevor Sullivan, Director (Non Executive)

Trevor D. Sullivan has served as a director since 1991. From 1991 to August 1999, Mr. Sullivan was the chairman. From 1987 to 1990, Mr. Sullivan was managing director of Memorex Ireland, a computer products company, and, from 1985 until 1987, Mr. Sullivan was vice president, customer operations of Memorex International. From 1981 until 1985, Mr. Sullivan held other senior management positions at Memorex International. Before 1981, Mr. Sullivan held several senior management positions at IBM. He currently resides in Dublin, Ireland.
