Shareholder Communications
Trintech’s Board acknowledges that its role is to represent and promote the interests of shareholders and that it is accountable to all shareholders and interested groups for the performance and activities of the Group. Shareholder interests lie at the heart of all goal-making decisions engaged by the Board for the Company. Communications with shareholders are given high priority and there is a regular dialogue with retail and institutional shareholders, as well as more formal channels of communications to account to shareholders for the performance of the Company such as presentations at the time of the release of the annual and quarterly results. The Company’s website, www.trintech.com, provides the full text of the Annual and quarterly Reports, the Form 20-F, which is filed annually with the US Securities and Exchange Commission and the Deutsche Boerse, copies of presentations to analysts and investors, shareholder information and details of Annual General Meetings. News releases are made available, in the press and investor relations sections of the website, immediately after release to the Nasdaq Stock Exchange. It is one of Trintech’s ongoing objectives to ensure that all shareholders receive Company information promptly. The web in a unique tool which helps achieve this goal and update investors promptly and informatively.
The Company’s Annual General Meeting affords individual shareholders the opportunity to question the Chairman and the Board. Given the size and geographic diversity of Trintech’s shareholder base, as it is a dual listed public Company in the United States of America and German, the opportunities for shareholder interaction at the AGM are limited. However, all Board members attend the meeting as do all Board Committee members and the Company’s external auditors to answer questions. In addition, the Company responds throughout the year to numerous letters, emails and telephone calls from shareholders on a wide range of issues.
